The European Commission has approved under the EU Merger Regulation the acquisition of sole control of the Dow Corning Corporation (DCC) by the Dow Chemical Company (Dow), both headquartered in the United States.
DCC is a joint venture, currently equally controlled by Dow and Corning Inc., also of the US. Dow is a leading chemicals producer, whereas DCC is active in silicone chemistry.
The Commission concluded that the proposed acquisition would raise no competition concerns because it would not significantly change the market structure. Indeed, Dow already has joint control over DCC. Moreover, the companies are mainly active in different areas. The transaction was examined under the simplified merger review procedure.
