Hemostemix Closes CDN$280,594 Private Placement

Calgary, Alberta--(Newsfile Corp. - November 18, 2025) - Hemostemix Inc. (TSXV: HEM) (OTCQB: HMTXF) (FSE: 2VF0) ("Hemostemix" or the "Company"), the leading autologous (patient's own) stem cell therapy company offering VesCell™ (ACP-01)to individuals suffering from peripheral arterial disease, chronic limb threatening ischemia, angina, ischemic cardiomyopathy, non-ischemic dilated cardiomyopathy, congestive heart failure, and total body ischemia, in Florida under Florida's SB 1768, announces the TSX Venture Exchange ("TSXV") conditionally approved the Company's previously disclosed non-brokered private placement (the "Offering") in the amount of CDN $280,594. The Offering consisted of the issuance of 2,244,752 Common Shares at a price of CDN $0.125 per Common Share. Subject to final TSXV approval, the Company will issue 2,244,752 Common Shares.
As per TSXV Policy 4.1, the investor is arm's length to the Company and is not a Related Party to the Company at the time of disclosure.
The use of proceeds will be allocated to general working capital purposes, supporting the Company's continuing operational expenses and business development activities.
The Company confirms that there is no material fact or material change about the Company that has not been generally disclosed.
All securities issued in connection with the Offering are subject to a four-month hold period from the closing date under applicable Canadian securities laws, in addition to such other restrictions as may apply under applicable securities laws of jurisdictions outside Canada.
